Acceptance of Terms

By downloading, installing, or using NextUp AI ("NextUp," "the App"), including the iOS, macOS, watchOS, and web applications, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Description of Service

NextUp is an AI-powered meeting assistant available on iOS, macOS, watchOS, and the web. It provides audio recording, transcription, AI-powered summarisation, action item extraction, task management, and cross-platform sync. The App uses cloud-based AI processing to deliver these features.

Account and Subscriptions

Some features of NextUp require an account and an active subscription or processing credits. Subscriptions are available as monthly or annual plans and may be purchased through Apple's In-App Purchase system or via Stripe on the web.

Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period.
You can manage or cancel your subscription through your Apple ID settings or the web app.
Credit top-ups are non-refundable once processing has begun.
Free tier accounts receive a limited number of credits per month.

Acceptable Use

You agree to use NextUp only for lawful purposes. You must not:

Record conversations without the consent of all parties where required by law
Use the App to violate any applicable wiretapping, eavesdropping, or recording laws
Attempt to reverse-engineer, decompile, or disassemble the App
Use the App in any way that could damage, disable, or impair our servers
Resell or redistribute the App or any content generated by the App
Use the App to process content that is unlawful, harmful, or violates third-party rights

Important: You are responsible for complying with all applicable recording consent laws in your jurisdiction. Many jurisdictions require all-party consent for recording conversations.

AI-Generated Content

NextUp uses artificial intelligence to generate transcriptions, summaries, action items, and suggestions. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing all AI-generated content before relying on it. We do not guarantee the accuracy, completeness, or suitability of any AI-generated output.

Intellectual Property

NextUp and all related intellectual property are owned by Digital3 Pty Ltd. You retain ownership of all content you create using the App, including recordings, transcripts, and tasks. We do not claim any rights to your content.

Privacy

Your use of NextUp is also governed by our Privacy Policy, which describes how we handle your data, including audio recordings, transcripts, and personal information.

Third-Party Services

NextUp integrates with third-party services including OpenAI, Anthropic, Apple, Google, and Stripe. Your use of these services through NextUp is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

Disclaimer of Warranties

NextUp is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or that transcriptions will be 100% accurate. AI-generated content (including action items, summaries, and suggestions) should be reviewed by users for accuracy.

Limitation of Liability

To the maximum extent permitted by law, Digital3 Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the App.

Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in behaviour that harms other users or our infrastructure. You may delete your account at any time by contacting us.

Modifications to Service

We reserve the right to modify or discontinue the App or any feature at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the new Terms. We will notify you of material changes through an in-app notification or by updating this page.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
